If any provision of this Agreement is declared or adjudged to be unenforceable or unlawful by any Governmental Authority having jurisdiction over the Rental Program, then such unenforceable or unlawful provision shall be of no effect to the extent that it is unenforceable or unlawful, thereby, shall continue and remain in full force and effect provided that the parties shall negotiate in good faith in order to agree the terms of a mutually satisfactory provision which as nearly as possible validly gives effect to their intentions as expressed in this Agreement.
