it shall be refundable to Purchaser with no interest, upon the earlier of: (i) Seller did not obtain the approval from the board of directors of Seller for the execution of a Sale and Purchase Agreement (which is subject to the approval regarding the asset disposition from the Tokyo District Court); (ii) Seller did not observe and perform its obligation in accordance with a Sale and Purchase Agreement for the reason of a default by Seller, (iii) a Total Loss of an Aircraft.
