No agreements have been provided save for intercompany loan agreements and certain credit agreements. We were therefore not able to assess whether the agreements by which ХХХ is bound or subject have been entered into at arm’s length terms or whether any existing agreements or commitments could give rise to cancellation rights (e.g., due to change of control clauses) or become in default or give rise to liabilities or obligations on the part of the ХХХ as a result of the Transaction.
