Помогите разобраться с понятиями:

Failing Shareholder (Defaulting Shareholder имеет значение Акционера, не выполняющего свои обязательства по Акциям)

Dividend Shortfall (недостаток, дефицит, недостача дивидендов? Кажется, что то не то..)

Additional Financing Shortfall (недостаток дополнительного финансирования?)

Equity Redistribution Amount (сумма активов, подлежащая перераспределению?)

Shareholder B Dividend Shortfall - any positive difference between the amount of the amount of the Shareholder B Dividend Entitlement and the Shareholder B Actual Dividends;

Additional Financing Shortfall -

If no term sheet is agreed with a third party finance provider within ninety (90) calendar days of the Board’s determination to obtain Additional Financing, or no drawdown of funds from a third party finance provider occurs within one hundred and fifty (150) calendar days of the Board’s determination to obtain Additional Financing, or the facility obtained and drawn down by the Company pursuant to Regulation within such one hundred and fifty (150)-day period is insufficient to satisfy the Required Amount (any such failure to obtain financing or shortfall, an {575}“Additional Financing Shortfall” , the Board shall promptly notify the Shareholders that such Additional Financing Shortfall may be funded by means of Shareholder Loans provided by the Shareholders (or their Affiliates) in their Respective Proportions on such terms and conditions regarding, inter alia, the currency, interest rate and tenure of such Shareholder Loan as the Company and the Shareholders may agree upon and which shall be substantially in line with the then market terms for similar loans (unless the Shareholders agree otherwise).

Equity Redistribution Amount -

If no Notice is served within this time period, then Shareholder B shall lose its entitlement to purchase the Shares from Shareholder A, any outstanding amounts of the Shareholder B Dividend Shortfall and/or Equity Redistribution Amount (and any interest thereon) shall be deemed fully discharged and Shareholder A and the Company shall be fully released from any obligation to do any further dividend reallocation or equity redistribution or otherwise compensate Shareholder B for any outstanding amount of the Shareholder B Dividend Entitlement and/or Equity Redistribution Amount (and any interest thereon);
