The Borrower shall on demand pay to the Facility Agent the amount of all costs and expenses (including legal fees, subject to agreed caps which may ne increased with the consent of the Borrower, such consent not to be unreasonably withheld or delayed) incurred by the Facility Agent in connection with the negotitation,preparation, printing and perfection of this Agreement.
